Investment Registration:
You must first register before you can invest. This can be done as a private individual or on behalf of a company.
Payment:
Corporate Bonds can be paid for via iDEAL. If you wish to invest a larger amount, you can make multiple iDEAL payments of €10,000 each. An iDEAL payment is processed and confirmed automatically.
Fully Subscribed:
Once the total amount of the bond loan is reached, its status will change to “Fully Subscribed.” At that point, no further investments can be made. Each investment includes a 14-day reflection period, during which the investor has the right to modify or cancel their registration. The bond loan retains the status “Fully Subscribed” until the reflection period for all registrations has expired.
A prospectus may be exempt from AFM approval if one or more of the following conditions apply:
The offer is directed at fewer than 150 people.
The securities can only be acquired (whether individually or in a bundle) for a value of at least €100,000 per investor.
The offer is made by a non-profit association or organization to achieve its non-commercial objectives.
The nominal value of a security is €100,000 or more.
This also applies to this offering:
The total value of the securities offered is less than €5 million, calculated over a 12-month period.
It's also possible that no approved prospectus is required because the offer is not subject to the prospectus obligation—for example, if the securities are not tradable, or if it involves an offering of participation rights in an open-end investment fund.

No, a bond loan is not considered crowdfunding.
With crowdfunding, you take out a loan through an intermediary platform that connects lenders and borrowers. A crowdfunding platform is required to conduct an investor test for every consumer investing more than €500.
In this case, you are investing directly in the company. You are granting the company a loan and deciding for yourself how much you want to lend. The terms of the loan can be found in the Information Memorandum.

As with any investment, there is a risk. In this case, the risk is that Onowa Beauty may not be able to meet the monthly interest or repayment obligations. However, a significant portion of the raised funds (approximately 80%) will be used to build inventory. This means the investment is backed by tangible, sellable products.
As long as Onowa Beauty continues to generate sales, the company is naturally able to meet its bond obligations. While not without risk, the bond is supported by a strong product pipeline and a growing brand.
Yes, the AFM considers it important that you, as a consumer, make a well-informed decision to invest. That’s why we offer a reflection period. This is implemented in two ways:
You must actively confirm that you have read the Information Memorandum before clicking the order button.
You have the right to cancel within 14 days. This can be done through written confirmation. There are no costs associated with this cancellation. If the investment is not canceled within 14 days, it becomes final.
You can log in to your personal investor dashboard via the login button on our website. Once logged in, you’ll be able to view your investments, interest payments, and essential updates.

Onowa Bonds are not listed on a public exchange and are not freely tradable. However, they can be transferred to another person under certain conditions:
Written agreement between both parties (seller and buyer).
Notification to Onowa Beauty B.V. via email with the new bondholder’s details.
Final approval by Onowa Beauty to update the bondholder registry.
